Terms of Service
These Terms govern access to and use of RelationshipOS, a patient operations platform provided by Alder Meridian LLC ("Alder Meridian", "we", "us"). By using the service you agree to these Terms. If you are agreeing on behalf of a clinic or other organization, you confirm you have authority to bind it.
1. What the service is
RelationshipOS is software that helps healthcare clinics manage appointments, treatment plans, laboratory orders and results, secure messaging, memberships and patient communication. It is an operations platform. It is not a medical device, does not provide medical advice, and does not make clinical decisions. All clinical judgement remains with licensed providers.
2. Eligibility and accounts
Clinic accounts are for licensed healthcare practices and their authorized staff. Patient accounts are for established patients of those practices. You must provide accurate information, keep credentials confidential, and are responsible for activity under your account. Notify us promptly at security@relationshipos.health if you believe an account has been compromised.
3. Clinic responsibilities
A clinic using RelationshipOS remains the covered entity under HIPAA and is responsible for:
- Obtaining any consents and authorizations required from its patients, including consent to receive text messages
- Maintaining its own Notice of Privacy Practices, policies, workforce training and risk analysis
- The accuracy of clinical information entered into the platform and all clinical decisions made
- Configuring access so staff receive only the permissions their role requires
- Complying with all laws applicable to its practice, including telehealth, prescribing and record retention rules
Where we process protected health information on a clinic's behalf, we do so as a business associate under a separate Business Associate Agreement, which controls in the event of any conflict with these Terms.
4. Acceptable use
You agree not to:
- Use the service unlawfully, or to send unsolicited or unlawful messages
- Upload malicious code, or attempt to breach, probe or disrupt the service or its security controls
- Access data belonging to another clinic or patient, or attempt to circumvent tenant isolation
- Reverse engineer, resell or white-label the platform except under a written agreement with us
- Use the service to send marketing text messages under the appointment messaging program
5. Text messaging terms
By opting in to text messages you agree to receive appointment confirmations, reminders and change notifications at the mobile number you provide. Message frequency varies, typically 2–5 messages per month. Message and data rates may apply. Reply STOP at any time to opt out, or HELP for help. Consent is not a condition of purchase or of receiving care.
Text messages are not encrypted and may be visible to anyone with access to your device. Messages contain only appointment logistics — clinic name, date and time — and no clinical information. Message delivery depends on your mobile carrier and is not guaranteed; carriers are not liable for delayed or undelivered messages. Full program details are on the Messaging Program page.
6. Fees and payment
Clinic subscription fees, and any patient membership or service payments processed through the platform, are described in the applicable order form or in the patient's clinic agreement. Payments are handled by a third-party payment processor; we do not store full card numbers. Fees are non-refundable except where required by law or expressly stated otherwise.
7. Intellectual property
Alder Meridian retains all rights in the RelationshipOS platform, its software, design and documentation. Clinics retain all rights in their own data, patient records and branding. Using the platform grants a limited, non-exclusive, non-transferable right to use it during the term of the agreement, and nothing more.
8. Availability and support
We aim to keep the service available and secure, and we perform maintenance from time to time. Except where a separate service level agreement applies, the service is provided without an uptime guarantee.
9. Disclaimers
Except as expressly stated in a written agreement, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, Alder Meridian is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the service is limited to the amounts paid by the clinic to Alder Meridian in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.
11. Term and termination
Either party may terminate in accordance with the applicable order form or agreement. We may suspend access immediately where necessary to protect the security or integrity of the service, or where use violates these Terms. On termination, clinic data is returned or deleted in accordance with the Business Associate Agreement.
12. Governing law
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the courts located in Spokane County, Washington.
13. Changes to these Terms
We may update these Terms. Material changes will be communicated to clinics in advance where practicable, and the "last updated" date above will change. Continued use after an update constitutes acceptance.
